Terms & Conditions

These Terms and Conditions (“Terms”) govern the use of services provided by Hardware Dynamics Services.

1. Introduction

These Terms and Conditions (“Terms”) govern the use of services provided by Hardware Dynamics Services (“Company,” “we,” “us,” or “our”). By engaging our services, accessing our website, or requesting work, the client (“Client,” “you”) agrees to be bound by these Terms.

2. Scope of Services

Hardware Dynamics Services provides onsite and remote IT services, including but not limited to:

  • IT hardware installation and technical support
  • Network, workstation, and peripheral setup
  • IT Asset Disposition (ITAD) services
  • Secure data wiping and physical media destruction
  • Equipment removal, logistics, recycling, and resale
  • Data center and field service support

All services are provided strictly as requested and authorized by the Client.

3. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information regarding systems, equipment, and environments
  • Maintain current and verified backups of all data prior to service delivery
  • Ensure authorized access to systems, equipment, and premises
  • Confirm ownership of, or authorization to act on, all equipment and data provided

Hardware Dynamics Services is not responsible for data loss where proper backups were not maintained by the Client.

4. Data Handling & Security

We take commercially reasonable measures to protect Client data during service delivery. However:

  • We do not guarantee data recovery or data preservation
  • Data wiping and destruction services are performed only upon explicit Client authorization
  • Once data destruction is completed, it is irreversible

Certificates of data wiping or destruction are provided where applicable.

5. IT Asset Disposition (ITAD)

For ITAD services:

  • Ownership of assets remains with the Client until formally transferred or destroyed
  • Hardware designated for recycling or destruction cannot be returned
  • Hardware designated for resale or buyback is evaluated at our discretion
  • Residual or resale value is not guaranteed

We comply with all applicable environmental and electronic waste (e-waste) regulations.

6. Limitation of Liability

To the maximum extent permitted by law:

  • Hardware Dynamics Services shall not be liable for any indirect, incidental, or consequential damages
  • Our total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim

This limitation includes, but is not limited to:

  • Data loss
  • Business interruption
  • Loss of revenue or profit

7. No Warranty

All services are provided “as is” and “as available”. We make no warranties, express or implied, including but not limited to:

  • Fitness for a particular purpose
  • Merchantability
  • Future system performance or reliability

8. Onsite Work & Environmental Conditions

We are not responsible for delays, limitations, or service interruptions caused by:

  • Unsafe or non-compliant work environments
  • Inadequate power, cooling, or physical space
  • Third-party vendors, carriers, or infrastructure

We reserve the right to refuse, suspend, or stop work if conditions are deemed unsafe.

9. Payment Terms

  • Invoices are payable according to terms agreed upon prior to service delivery
  • Late payments may result in service suspension or termination
  • All prices are exclusive of applicable taxes unless otherwise stated

10. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or operational information obtained during the service engagement, except where disclosure is required by law.

11. Termination of Services

Hardware Dynamics Services reserves the right to suspend or terminate services in cases of:

  • Non-payment
  • Misrepresentation or false information
  • Unsafe working conditions
  • Illegal, unethical, or unauthorized requests

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada.

13. Changes to Terms

Hardware Dynamics Services reserves the right to update or modify these Terms at any time. Continued use of our services constitutes acceptance of the revised Terms.
